1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and GENIO INDIA SOFTWARE PRIVATE LIMITED ("Company", "we", "our", or "us"), a company incorporated under the laws of India, governing your access to and use of the mobile application Smart Sales Ledger (the "App" or "Service") on Android and iOS devices.

By downloading, installing, registering for, accessing, or using the App, you confirm that:

• You have read, understood, and agree to be bound by these Terms.
• You have read and understood our Privacy Policy, which is incorporated by reference into these Terms.
• You are at least 18 years of age or the legal age of majority in your jurisdiction.
• You have the legal capacity and authority to enter into this Agreement.

2. About the Service

Smart Sales Ledger is a business productivity mobile application that enables users — including small businesses, shopkeepers, retailers, and service providers — to:

• Maintain customer records and contact details
• Record sales transactions, invoices, and receipts
• Manage payment ledgers (cash, credit, dues)
• Generate basic business reports

The Service is provided "as is" and is intended for legitimate business and personal record-keeping purposes only.

3. Eligibility and Account Registration

3.1 Eligibility

To use the App, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction).
• Be capable of forming a legally binding contract under applicable law.
• Not be barred from using the Service under the laws of India, your country of residence, or any other applicable jurisdiction.
• Not have been previously suspended or removed from the Service.

3.2 Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are solely responsible for all activities conducted under your account.

• We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

3.3 One Account per User

You may not create multiple accounts to circumvent free-tier limits, evade restrictions, or for any other improper purpose. Violation may result in suspension or termination.

4. License Grant

4.1 Limited License

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a mobile device that you own or control, solely for your personal or internal business purposes.

4.2 Apple App Store Additional Terms (iOS Users)

If you download the App from the Apple App Store, the following additional terms apply:

• This Agreement is concluded between you and the Company only, and not with Apple Inc. Apple is not responsible for the App or its content.
• The license is limited to use on Apple-branded products running iOS that you own or control.
• Apple has no obligation to provide maintenance or support for the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Otherwise, Apple has no warranty obligation.
• Apple is not responsible for addressing any claims relating to the App, including product liability, regulatory non-compliance, or consumer protection claims.
• In case of third-party intellectual property claims, the Company (not Apple) is responsible for investigation, defense, and resolution.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
• You represent that you are not in a country subject to a U.S. Government embargo and are not listed on any U.S. Government list of prohibited or restricted parties.

4.3 Google Play Additional Terms (Android Users)

If you download the App from Google Play, your use is also subject to the Google Play Terms of Service.

5. Plans, Pricing, and In-App Purchases

5.1 Free Plan

• The Free Plan allows users to register and manage up to 50 customer records at no cost.
• Once the 50-record limit is reached, you must purchase a subscription to add more records.
• The Free Plan may be modified or discontinued at any time at the Company's discretion.

5.2 Paid Subscription Plans

The following paid plans are available through in-app purchase:

365-Day Plans

Prices are inclusive of applicable taxes unless otherwise stated. The price displayed in the App at the time of purchase shall be final.

5.3 In-App Purchases

• All paid subscriptions are processed exclusively through Google Play Billing (Android) or Apple In-App Purchase / StoreKit (iOS).
• The Company does not collect, process, or store any credit card, debit card, UPI, or bank account information.
• Subscription fees are charged to your Google Play or Apple ID account at the time of purchase.

5.4 Auto-Renewal

• Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 24 hours before the end of the current period.
• You can manage or cancel auto-renewal through your Google Play or Apple ID account settings:
  • Android: Google Play → Profile → Payments & subscriptions → Subscriptions
  • iOS: Settings → [Your Name] → Subscriptions

5.5 No-Refund Policy

• All subscription purchases are final and non-refundable once activated, except where required by applicable law.
• No refunds or credits will be provided for partial billing periods, unused features, or early cancellation.

5.6 Upgrade Policy

• You may upgrade your plan at any time during an active subscription period.
• Upgrades take effect immediately, and a new billing cycle begins from the upgrade date.
• Previously paid subscription fees will not be prorated, refunded, or credited toward the upgraded plan.

5.7 Renewal Policy

If you purchase the same plan again before its expiry, the new validity period will be added to the existing expiry date (i.e., the subscription will be extended, not reset). This applies only when renewing the same plan; switching to a different plan is treated as an upgrade/downgrade.

5.8 Price Changes

We reserve the right to change subscription prices at any time. Price changes will be notified to existing subscribers at least 30 days in advance via in-app notification or email, and will take effect upon your next renewal date. You may cancel before the change takes effect if you do not agree with the new pricing.

6. Free Trial (If Offered)

If we offer a free trial:

• You may be required to provide payment information to start the trial.
• At the end of the trial, you will be automatically charged for the selected subscription plan unless cancelled before the trial ends.
• Each user is eligible for only one free trial per account or device.
• Free trial terms may vary and are governed by Google Play or Apple policies.

7. Plan Expiry and Data Access

Upon expiry of a paid subscription, the following will occur:

• Your access will be automatically downgraded to the Free Plan, limited to 50 customer records.
• The accessible records will be determined in ascending order of registration date (i.e., your earliest registered customers remain accessible).
• You will not be able to add new records beyond the 50-record limit until you renew or upgrade your subscription.
• Existing data beyond the 50-record limit will not be deleted immediately but will become inaccessible until a paid subscription is reactivated.
• Inaccessible data may still be subject to the Data Retention policy in Section 12.

8. User Obligations and Acceptable Use

8.1 Misuse the Service

By using the App, you agree that you shall NOT:

• Use the App for any unlawful, fraudulent, deceptive, or malicious purpose.
• Violate any applicable local, state, national, or international law or regulation.
• Use the App in a manner that could damage, disable, overburden, or impair our servers or networks.
• Attempt to gain unauthorised access to any portion of the App, our systems, other users' accounts, or related networks.

8.2 Misuse Customer Data

You acknowledge and agree that:

• You are solely responsible for the accuracy, legality, and appropriateness of all data you enter into the App about your customers and business contacts.
• You must obtain all necessary consents from your customers before entering their personal information into the App, as required by applicable data protection laws (e.g., DPDP Act 2023, GDPR).
• You will use customer data only for legitimate business purposes and in compliance with applicable laws.
• You indemnify the Company against any claims arising from your handling of customer data.

8.3 Prohibited Activities

You shall NOT:

• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App.
• Modify, adapt, translate, or create derivative works based on the App.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
• Use any automated means (bots, scrapers, crawlers) to access or interact with the App.
• Resell, sublicense, lease, rent, or commercially exploit the App or any portion thereof.
• Use the App to send spam, unsolicited messages, or marketing communications to your customers.
• Upload or transmit any viruses, malware, or harmful code.
• Use the App in connection with any illegal activity, including but not limited to fraud, money laundering, or tax evasion.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Circumvent or attempt to circumvent the App's subscription limits or paywalls.

8.4 Backup Responsibility

You are solely responsible for backing up your data. The App provides an export feature for this purpose. The Company will not be liable for any data loss resulting from your failure to maintain backups.

9. Intellectual Property Rights

9.1 Ownership

The App, including all software, source code, designs, text, graphics, logos, icons, images, and other content (collectively, "Company Content"), is owned by or licensed to GENIO INDIA SOFTWARE PRIVATE LIMITED and is protected by copyright, trademark, and other intellectual property laws of India and other countries. No part of the App may be copied, reproduced, distributed, or used for any purpose without our prior written consent, except as permitted under this license.

9.2 Your Content

You retain all rights to the data and content you enter into the App ("User Content"). You grant the Company a limited, worldwide, royalty-free license to host, store, process, transmit, and display your User Content solely to provide and improve the Service. This license terminates when you delete the data or your account.

9.3 Feedback

If you provide suggestions, feedback, or ideas regarding the App, you grant us the right to use them without compensation or attribution.

10. Privacy

Our collection, use, and disclosure of your personal information are governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the App, you consent to the data practices described in the Privacy Policy.

11. Third-Party Services

The App relies on the following third-party services. Your use of these services is subject to their respective terms:

• Google Play Billing — play.google.com/about/play-terms/
• Apple In-App Purchase — apple.com/legal/internet-services/itunes/
• Cloud hosting providers (as applicable)
• Analytics and crash-reporting services (as applicable)

We are not responsible for the practices, content, or availability of any third-party services.

12. Data Retention and Deletion

• Active user data is retained for as long as your account remains active.
• Data inactive or unused for more than 2 (two) years may be automatically deleted without further notice.
• We will make reasonable efforts to notify you via email or in-app notification before any automated deletion.
• The Company shall not be liable for any loss of data resulting from the application of this retention policy.
• You may request deletion of your account and data at any time through the in-app settings or by contacting us. Refer to our Privacy Policy for full details.

13. Service Availability and Modifications

13.1 Availability

We strive to keep the App available 24/7 but do not guarantee uninterrupted access. The App may be temporarily unavailable due to maintenance, updates, technical issues, or factors beyond our control (e.g., internet outages, force majeure events). We are not liable for any inconvenience or loss arising from such unavailability.

13.2 Modifications to the Service

We reserve the right to modify, suspend, or discontinue any feature of the App, in whole or in part, at any time, with or without notice, and to impose limits on certain features or restrict access to parts of the App. We will make reasonable efforts to notify you of material changes that adversely affect your use of paid subscriptions.

14. Disclaimers and Warranties

14.1 "AS IS" and "AS AVAILABLE"

14.2 No Professional Advice

The App is a record-keeping tool. It does not provide tax, accounting, legal, or financial advice, or business consulting or advisory services. You should consult qualified professionals for advice tailored to your circumstances. The Company is not liable for any decisions you make based on data or outputs from the App.

14.3 No Guarantee of Results

We do not warrant that the App will meet your specific business requirements, that the results obtained from the App will be accurate or reliable, or that any errors or defects will be corrected.

15. Limitation of Liability

15.1 Maximum Extent Permitted by Law

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENIO INDIA SOFTWARE PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, OR ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE APP.

15.2 Liability Cap

IN ANY EVENT, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (b) INR 1,000 (one thousand Indian Rupees).

15.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such cases, our liability shall be limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless GENIO INDIA SOFTWARE PRIVATE LIMITED, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights (including the privacy rights of your customers)
• Your User Content or data entered into the App
• Any disputes between you and your customers

17. Suspension and Termination

17.1 Termination by You

• You may stop using the App at any time.
• You may delete your account through the in-app settings or by contacting us at [Insert Contact Email].
• Termination does not entitle you to any refund of unused subscription fees.

17.2 Termination by Us

We may suspend or terminate your account and access to the App, with or without notice, if you violate these Terms or any applicable law, engage in fraudulent or harmful activity, or we are required to do so by law, regulation, or court order.

17.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. Your data may be deleted in accordance with our retention policy. All provisions which by their nature should survive termination shall survive (e.g., intellectual property, disclaimers, limitations of liability, indemnification, governing law).

18. Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, wars, terrorism, civil unrest, government action, internet or power outages, failures of third-party services, or cyber-attacks.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

19.2 Jurisdiction

Subject to Section 19.3, any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in [Insert City, India], and you irrevocably consent to the personal jurisdiction and venue therein.

19.3 Dispute Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute by contacting us in writing at [Insert Contact Email]. If the dispute cannot be resolved within 30 days, the parties may submit to arbitration under the Arbitration and Conciliation Act, 1996 of India — conducted by a sole arbitrator, held in [Insert City, India], in the English language. 19.4 Consumer Rights

Nothing in this Section limits your rights as a consumer under applicable consumer protection laws, including the Consumer Protection Act, 2019 of India.

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of these Terms and notify users via in-app notification or email at least 7 days before the changes take effect. For material changes affecting paid subscribers, we will provide at least 30 days advance notice. Your continued use of the App after the effective date constitutes acceptance of the changes.

21. Miscellaneous

21.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the App and supersede all prior agreements, communications, and proposals, whether oral or written.

21.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

21.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

21.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to any affiliate or successor without restriction.

21.5 Relationship of Parties

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and the Company.

21.6 Notices

Any notice from us to you may be provided via in-app notification, email to the address associated with your account, or posting on the App. Any notice from you to us must be sent to [Insert Contact Email].

21.7 Language

These Terms are drafted in English. If translated into any other language, the English version shall prevail in the event of any conflict or inconsistency.

21.8 Export Compliance

You agree to comply with all applicable export and re-export control laws, including those of India, the United States, and any other applicable jurisdiction.
